Terms and Conditions

Clear Terms, No Surprises.

The ground rules for using our website and free audit, and for working with 212 Design Lab LLC on your website, app, security, or hosting.

Last updated: October 19, 2026

The short version

Every project gets an agreement

Scope, price, and timeline are set out in writing for each project. These terms fill in the rest.

You own your website

Once your project is paid in full, the finished website and its content belong to you.

Deposits reserve your spot

A deposit holds time in our schedule and becomes non-refundable once work begins.

Cancel hosting with 30 days' notice

Hosting and care plans are month to month, and we help you move your site if you leave.

Please read these Terms carefully. They explain what you can expect from us, what we ask of you, and how we handle payments, ownership, and hosting. If anything is unclear, just ask us.

01Agreement to These Terms

These Terms and Conditions (“Terms”) apply when you use 212designlab.com, use our free website audit, view a concept we have prepared for you, or hire 212 Design Lab LLC (“212 Design Lab,” “we,” “us”) for design, development, security, hosting, or app services.

By using our website or our services, you agree to these Terms. If you are agreeing on behalf of a business, you confirm that you are authorized to do so. If a written project agreement, proposal, or quote that we both accept says something different from these Terms, that agreement controls for that project.

02Using Our Website

You may use our website for lawful purposes. You agree not to:

  • Attempt to break into, overload, or disrupt our website, servers, or security
  • Use bots or scripts to scrape the site or send large numbers of requests
  • Misrepresent who you are or use the site to send spam or harmful content
  • Use the site in any way that breaks the law or the rights of others

03Our Free Website Audit

Our free audit runs an automated check of a website’s public homepage, the same way a web browser would. Please only scan websites that you own, manage, or have permission to check.

Audit results are automated and for general information only. They are not a complete security assessment, and a good score does not mean a website cannot be attacked. We may limit, change, or stop the audit at any time, including to prevent abuse.

04Concept Designs and Previews

We sometimes prepare redesign concepts and previews for businesses we would like to work with. Concepts are proposals only. They may include the business’s existing logo, photos, and text for illustration, and preview links may expire after a set time.

The concept designs, layouts, and code we create remain ours unless they become part of a paid project. Please do not copy or reuse a concept without an agreement with us.

05Our Content

The text, graphics, logo, designs, and code on our website belong to 212 Design Lab or are used with permission. You may not copy, reproduce, or reuse them without our written permission, except to share links to our pages.

Client Services

06Project Agreements and Quotes

Before work starts, we agree on the scope, price, timeline, and payment schedule for your project in a written agreement, proposal, or quote. Unless it says otherwise, a quote is valid for 30 days.

Work that is outside the agreed scope, such as new pages, features, or major changes in direction, will be quoted separately before we begin it.

07Payments and Deposits

We work with each client to find a payment schedule that suits their project and budget. Examples include a deposit up front with the balance due at launch, payments at set milestones, or a monthly plan. Your schedule is set out in your project agreement.

  • Deposits: a deposit reserves time in our schedule. It is non-refundable once work on your project has begun. If we have not started any work, we will refund your deposit in full.
  • Invoices: invoices are due by the date shown on the invoice.
  • Late payments: if an invoice is overdue, we may pause work until it is paid, which may delay your timeline.
  • Launch and handover: we launch your website and hand over final files once the project is paid in full, unless we agree otherwise in writing.

08Your Responsibilities

To keep your project on track, you agree to:

  • Provide the content, images, logins, and information we need, when we need them
  • Give feedback and approvals within a reasonable time
  • Make sure the information you give us is accurate
  • Only provide materials, such as logos, photos, and text, that you own or have the right to use

Delays in receiving content or feedback may move the project timeline.

09Revisions and Approvals

Your project agreement sets out how many rounds of revisions are included. Additional revisions or changes after a stage has been approved may be billed separately. Approving a design, a stage, or the final website means you accept that work as complete.

10Ownership of Work

  • Your website: once your project is paid in full, you own the finished website design, the content you provided, and the final deliverables listed in your agreement. Until then, all rights stay with us.
  • Our tools: we keep ownership of our pre-existing and reusable code, tools, and frameworks. You receive a permanent license to use them as part of your website.
  • Third-party items: themes, plugins, fonts, stock photos, and other third-party items are covered by their own licenses.
  • Our portfolio: we may show completed work in our portfolio and marketing, and describe the work we did, unless we agree otherwise in writing.

11Hosting and Care Plans

  • Hosting and care plans are billed in advance each month, or as set out in your agreement, and continue month to month.
  • You may cancel at any time with 30 days’ written notice. Once your account is paid up, we will provide your website files and help you move your site to a new provider.
  • We work hard to keep sites fast and online, but we cannot guarantee that a website will be available 100% of the time. Backups and monitoring are provided as described in your plan.
  • We may suspend hosting for unpaid invoices or for a breach of the acceptable use rules below, after giving you notice whenever possible.

12Acceptable Use for Hosted Websites

Websites we host must not be used for anything illegal or harmful, including malware, phishing, spam, content that infringes someone else’s rights, or attacks on other systems. We may suspend or remove content that breaks these rules to protect our clients and our systems.

13Security Services

Our security services greatly reduce risk, but no website or system can be made completely secure. We do not guarantee that a website will never be attacked or breached. You are responsible for keeping your own passwords and accounts safe, and we are not responsible for problems caused by third-party software, hosting, or services outside our control.

14Third-Party Services

Many projects rely on outside services, such as domain registrars, hosting providers, payment processors, email services, and plugins. These services are covered by their own terms and pricing. Unless your agreement says otherwise, their fees are paid by you, and we are not responsible for their availability or changes they make.

15Confidentiality

We keep your business information, logins, and project details confidential and only use them to provide our services. Our Privacy Policy explains how we handle and protect personal information.

Legal

16Disclaimers

Our website, free audit, and concept previews are provided “as is,” without warranties of any kind. We do our best to keep information on our website accurate, but we do not guarantee that it is complete or up to date.

17Limitation of Liability

To the fullest extent allowed by law, 212 Design Lab is not liable for indirect, incidental, or consequential damages, such as lost profits, lost data, or business interruption. Our total liability for any claim related to our services is limited to the amount you paid us for those services in the 12 months before the claim.

18Indemnification

You agree to cover any claims, costs, or damages that result from materials you provide to us, such as text, images, or logos you did not have the right to use, or from your use of your website in a way that breaks the law.

19Ending a Project

Either of us may end a project as set out in the project agreement. If a project ends early, you pay for the work completed up to that date, and the deposit is non-refundable if work has begun. Once all invoices are paid, we will deliver the work completed so far.

20Governing Law

These Terms are governed by the laws of the State of Minnesota. Any dispute will be handled in the state or federal courts serving Carver County, Minnesota. Before going to court, we both agree to try to resolve any disagreement by talking it through in good faith.

21Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top shows when they last changed. Changes do not affect a project agreement that is already signed unless we both agree.
